Terms of Service
Effective May 1, 2026 · Mindbill, Inc.
1. Definitions
"Mindbill" means Mindbill, Inc., a Delaware corporation. "Customer" means the entity subscribing to the Mindbill platform. "Services" means the Mindbill software and EDI routing described in your Order Form. "PHI" has the meaning set forth in 45 CFR §160.103.
2. Subscription & Access
Customer is granted a non-exclusive, non-transferable, month-to-month license to use the Services. Mindbill processes Customer's data solely to provide the Services and as required by the Business Associate Agreement. All Mindbill software remains the property of Mindbill.
3. Fees & Payment
Subscription fees are specified in your Order Form, invoiced monthly in advance, and payable by ACH or credit card net-15. Late payments accrue interest at 1% per month or the maximum allowed by law.
4. Data, PHI, and HIPAA
Mindbill is a Business Associate as defined under HIPAA. The executed BAA between the parties governs all PHI handling. Customer retains all rights, title, and interest in Customer Data. Mindbill will not use Customer Data for any purpose other than providing the Services, except as expressly permitted by the BAA.
5. Service Levels
Mindbill targets 99.9% monthly uptime, with any SLA credits as specified in your Order Form. Maintenance windows announced ≥48 hours in advance at /status. SLA does not cover degradations attributable to third-party clearinghouses or payers.
6. EDI & Clearinghouse Routing
Mindbill routes ASC X12 5010 transactions through third-party clearinghouses (Carisk Intelligent Clearinghouse, Jopari Solutions, Data Dimensions, CorVel Direct, US DOL OWCP). Customer authorizes Mindbill to act as its agent for the limited purpose of submitting bills and receiving responses. Mindbill is not responsible for delays or rejections caused by third-party clearinghouses or payers.
7. Compliance & Regulatory
Mindbill makes no warranty regarding the legal sufficiency of bills, appeals, or audit complaints generated by the Services. Customer is solely responsible for the accuracy and compliance of all bills it dispatches. Mindbill complies with HIPAA, CCPA, CMIA, and applicable California Code of Regulations §9795 et seq.
8. Termination
Either party may terminate this Agreement with 30 days' written notice. On termination, Customer may export all Customer Data via the REST API or bulk export for 60 days. After 60 days, Mindbill will delete Customer Data per the BAA (with audit-log retention per HIPAA 7-year rule).
9. Limitation of Liability
EXCEPT FOR LIABILITY ARISING FROM HIPAA VIOLATIONS, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT, MINDBILL'S TOTAL LIABILITY IS LIMITED TO THE FEES PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
10. Governing Law & Disputes
This Agreement is governed by the laws of the State of California. Disputes will be resolved by binding arbitration administered by JAMS in San Francisco, California, except either party may seek injunctive relief in court. Both parties waive class-action rights.
